You acknowledge that this Agreement is a contract between you and Whole Kids Health, even though it is electronic and is not physically signed by you, and it governs your use of the Website, Services, and Content. If you do not agree with the terms of this Agreement, you must not access or use the Website, Services, and Content.

INDEMNIFICATION

You agree to indemnify, defend and hold harmless  Whole Kids Health, affiliates, officers, directors, employees, health-care practitioners, agents, licensors, service providers, subcontractors, suppliers, residents, students, volunteers, and employees, and all third parties mentioned at the Website, from and against all claims, actions or demands, and losses or damages relating thereto, alleged to result from or resulting from your Use of the Website and its Content or your breach of the Agreement.

SEVERABILITY

In the event that any provision of this Agreement or any covenant contained herein is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the invalidity or unenforceability shall not affect the validity or enforceability of any other provision or covenant contained herein, and any such invalid provision or covenant shall be deemed severable from the rest of this Agreement.

USE PROHIBITED WHERE CONTRARY TO LAW

By using the Website, you agree that you will not use the Website or its Content for any unlawful purpose or in any way that is prohibited by these terms of use. GOVERNING LAW AND JURISDICTION

Whole Kids Health operates this Website from its offices within the province or territory of Ontario (Canada).

You agree that all matters relating to your access to your use of the Website and Services  shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without giving effect to any principles of conflict of law. CHANGES AND AMENDMENT

Whole Kids Health reserves the right to modify this Agreement or its terms related to the Website and Services at any time, without prior notice. When revised, the date will be updated at the top of this page. 

An updated version of this Agreement will be effective immediately upon the posting of the revised Agreement unless otherwise specified. By continuing to use the Website, Services, and Content after modifications have been made will signify your acceptance of these revised terms and your  agreement to be bound by the updated terms. 

TERMINATION

Whole Kids Health reserves the right to cancel or terminate your right to use the Website or access to the Website for any reason, at any time. In the event of termination, you are no longer authorized to access the Website or the part of the Website affected by such cancellation or termination.

The restrictions imposed on you on material downloaded from the Website and the disclaimers and limitations of liabilities outlined in this Agreement shall survive termination of this Agreement. Whole Kids Health shall not be liable to any party for such termination.

ACCEPTANCE OF THESE TERMS

You acknowledge that you have read this Agreement and agree to all its terms and conditions.  By accessing and using the Website and Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Website and Services

ENTIRE AGREEMENT

This is the entire Agreement between you and Whole Kids Health relating to your access and Use of the Website, Services, and Content, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Use).
